Content Creator Terms & Conditions

These Terms & Conditions govern collaborations between Virasit Retail Private Limited (“Virasit”, “Company”, “we”, “us” or “our”) and content creators, influencers, and other individuals (“Creator”, “you” or “your”) who collaborate with our brand.

By submitting the creator partnership form on our website and accepting these Terms & Conditions, you agree to the following terms.

1. Collaboration & Content Deliverables

The Creator agrees to create and/or publish content as mutually agreed with Virasit. Content may include videos, reels, photographs, stories, posts, product reviews, testimonials, raw footage, voiceovers, or other agreed deliverables.

The Creator must follow the campaign brief, product information, agreed timelines, content requirements, and publishing instructions shared by Virasit. Where prior approval is requested, the Creator must obtain approval before publishing the content.

Virasit may request reasonable revisions to ensure that the content aligns with the agreed brief, brand guidelines, product information, and applicable requirements.

2. Content Usage Rights

The Creator grants Virasit Retail Private Limited a worldwide, royalty-free, perpetual licence to use, reproduce, publish, edit, adapt, distribute, display, and promote the content created or submitted as part of the collaboration.

This includes use on Virasit's website, social media accounts, e-commerce platforms, marketing materials, digital campaigns, and paid advertisements.

Virasit may resize, crop, subtitle, translate, combine, or otherwise adapt the content for marketing purposes, provided such use remains lawful. The Creator also permits the use of their name, social media handle, image, likeness, voice, and appearance as included in the content.

Unless otherwise agreed in writing, these usage rights will not require additional payment or royalties for continued or future use of the content.

3. Intellectual Property

The Creator confirms that the content submitted is original or that they have obtained all necessary permissions and licences for its use by Virasit. The content must not infringe any third-party copyright, trademark, privacy, or other legal rights.

All Virasit trademarks, logos, product names, packaging, campaign briefs, and other brand materials remain the property of Virasit or their respective owners. The Creator may use these materials only for the agreed collaboration.

4. Creator Responsibilities & Compliance

The Creator agrees to:

• Provide accurate, honest, and authentic content about Virasit and its products.
• Avoid false, misleading, exaggerated, or unapproved product claims.
• Follow the product information and communication guidelines shared by Virasit.
• Comply with applicable laws, advertising standards, influencer disclosure requirements, and social media platform policies.
• Clearly disclose paid partnerships, gifted products, affiliate relationships, or other material connections with Virasit wherever required.
• Obtain permission for any third-party music, images, footage, or other material used in the content.
  

The Creator must not knowingly engage in unlawful conduct or publish false or defamatory statements about Virasit or its products.

5. Confidentiality

The Creator must keep confidential any non-public information received from Virasit, including campaign briefs, unpublished content, pricing, marketing plans, business information, and collaboration terms.

Such information must not be shared with third parties without Virasit's prior written permission, unless disclosure is required by law.

6. Payment & Compensation

Any payment, product exchange, gifting arrangement, affiliate commission, or other compensation will be communicated and agreed upon separately for each collaboration.

Unless otherwise agreed in writing, the agreed compensation will cover the deliverables and content usage rights described in these Terms & Conditions. No additional payment or royalty will be payable for continued use of the content within the scope of the rights granted.

Applicable taxes and statutory deductions will be handled in accordance with applicable law.

7. Cancellation & Termination

Virasit may cancel or terminate a collaboration if the Creator materially breaches these Terms & Conditions, fails to deliver the agreed content, violates applicable laws, infringes third-party rights, breaches confidentiality, or makes unauthorised product claims.

Any payment due for completed and accepted deliverables will be handled in accordance with the specific collaboration terms and applicable law.

Termination will not automatically revoke content usage rights already granted under these Terms & Conditions, subject to applicable law and any separate written agreement.

8. Liability

The Creator is responsible for ensuring that the content they provide complies with these Terms & Conditions and does not knowingly violate third-party rights or applicable laws.

The Creator agrees to cooperate in resolving claims arising from their breach of these Terms & Conditions. Any liability or indemnification obligations will be subject to applicable law.

9. Independent Relationship

The Creator participates as an independent collaborator. Nothing in these Terms & Conditions creates an employment, partnership, agency, or joint venture relationship between the Creator and Virasit.

10. General Terms

These Terms & Conditions, together with any separately agreed campaign brief or written collaboration terms, form the understanding between Virasit and the Creator for the relevant collaboration.

Any changes to the specific deliverables, payment, or other campaign terms must be mutually agreed upon in writing.

These Terms & Conditions are governed by the laws of India. Any disputes will be subject to the jurisdiction of the competent courts in Jaipur, Rajasthan, India, to the extent permitted by applicable law.

11. Acceptance

By checking the acceptance box and submitting the creator collaboration form, the Creator confirms that they have read, understood, and agreed to these Terms & Conditions.
